Univest Securities, LLC Announces Closing of $18 Million Registered Direct Offering for its Client WF Holding Limited (NASDAQ: WFF)

New York, Oct. 15, 2026 (GLOBE NEWSWIRE) — Univest Securities, LLC announced the closing of an $18 million registered direct offering for its client WF Holding Limited (NASDAQ: WFF).

Under the securities purchase agreement, the Company agreed to sell 12,000,000 ordinary shares, par value $0.00025 per share, at $1.50 per share to certain institutional investors. The Company also agreed to issue 12,000,000 warrants at an exercise price of $1.50 per share, immediately exercisable with a 1-year term. Each warrant includes a zero cash exercise option allowing holders to acquire up to 9 ordinary shares.

The offering generated $18 million in gross proceeds before fees and expenses. Investors also have a 30-day right following pricing to purchase up to an additional $18 million in securities on the same terms. Univest Securities, LLC acted as the sole placement agent.
